1. Welcome and Agreement
Thank you for choosing Mindful Moments with Nathan Baptiste. By accessing our website, purchasing our digital courses, or engaging in our organizational services, you agree to be bound by these Terms of Service. If you do not agree with any of these terms, you are prohibited from using or accessing our services. The materials contained in this website are protected by applicable copyright and trademark law.
2. Services Provided
Mindful Moments with Nathan Baptiste offers:
Free Content: Newsletter ("Mindful Moments with Nathan Baptiste"), articles, and select guided meditations
Digital Courses & Programs: Self-paced and cohort-based online courses on mindfulness, self-compassion, and professional resilience. Cohort programs utilize a sliding-scale pricing model with three tiers (Access, Community, Sustaining) to balance accessibility with program sustainability.
Live Workshops & Training: Virtual group sessions and interactive learning experiences
Organizational Services: Custom mindfulness training, pilot programs, and consulting for teams and organizations
Resources: Guided meditations, assessments, practice guides, and educational materials
3. Professional Boundaries and Educational Disclaimer
Educational Nature: All content, including the C.A.L.M. Method™, is for educational and self-development purposes only.
Not Medical Advice: Our services do not constitute medical advice, mental health therapy, or crisis intervention.
Personal Responsibility: You are responsible for your own well-being. If you experience distress, consult a qualified healthcare provider.
Assumption of Risk: You acknowledge that mindfulness and somatic practices may involve the exploration of difficult emotions or past experiences. You voluntarily assume all risks, known and unknown, associated with participating in these programs.
No Guaranteed Outcomes: Mindfulness is a practice-dependent skill. Results vary based on individual commitment and consistency.

4. Intellectual Property and Content Usage
All materials provided—including courses, videos, audio, written guides, and the C.A.L.M. Method™—are the sole property of EDI Mindfulness Consulting LLC.
Limited License: You are granted a personal, non-exclusive license for individual professional development.
Prohibited Acts: You may not record, reproduce, distribute, or create derivative works from our content. Commercial use (training others using our materials) is strictly prohibited without written consent.
Account Integrity: Access is for a single user only. Sharing login credentials will result in immediate termination of access without a refund.
5. Payment Terms and Refund Policy
All prices are in U.S. dollars. Payment is due at the time of purchase.
Course Access Structure:
Our digital courses are designed as structured learning programs with weekly module releases to support optimal habit formation and skill development.

Educational Design Note:
This structured release honors the course's week-by-week learning design.
Each module is intended to be practiced for one full week, and research on habit formation shows that this pacing supports optimal skill development, higher completion rates, and better long-term outcomes.

We want you to have genuine time to experience the quality and value of the program.
Refund Window:
Request a full refund any time within the first 14 days of purchase, minus a $25 administrative fee for processing.
Available Content:
During the first 14 days, you'll have access to Modules 1-2 and corresponding Practice Guide sections—time to evaluate the teaching style, practice methods, and course quality.
No Questions Asked:
If the course isn't the right fit, simply email support@edimindfulness.com with your confirmed order and payment details within the first 14 days of purchase.
Fair Use Protection:
To protect our intellectual property, refund eligibility ends if you've completed more than 50% of the available content of any course, or completion of more than Modules 1-2 in the course: From Chaos to C.A.L.M.).
After the 14-Day Refund Period:
All sales are final.
You retain 1-year access to the complete course.
Modules 3-6 and the complete Practice Guide (course workbook) will continue releasing on weekly schedule.
B. Live Workshops and Cohort Programs
Sliding Scale Pricing: Our cohort programs use a sliding-scale model with three tiers (Access, Community, Sustaining) to support accessibility while sustaining the program. All refund terms apply equally regardless of which tier you select.
Full Refund: Available up to 14 days before the program start date, minus a $25 administrative fee to cover non-refundable processing costs.
Flexible Credit (50%): We understand life happens. Cancellations made between 7-13 days before the start date are eligible for a 50% credit toward a future cohort or the self-paced version of the course.
The "Cohort Commitment" (No Refunds): Because our cohorts are intimate small groups to ensure personalized support, no refunds or credits can be issued within 7 days of the start date or once the program has begun.
Payment Plans: If you select a payment plan option (e.g., 3 monthly installments), refund eligibility is based on the program start date, not payment schedule. If you cancel before the start date but after making your first payment, the refund terms above apply to payments already made.
Session Recordings: If an emergency arises during the cohort, all sessions are recorded and available within 48 hours so you never miss a step in your journey.
Our Cancellation: If we cancel a program, you'll receive a full refund or credit toward another offering of equal or greater value.
C. Organizational Services
Refund and cancellation terms are outlined in individual service agreements. Standard terms typically include:
Full refund: 14+ days' notice before scheduled service
50% refund: 7-13 days' notice before scheduled service
No refund: Within 7 days of scheduled service
Specific terms will be confirmed in your service agreement
6. Testimonials, User Content, and Community Standards Marketing and Testimonials
We may request permission to share your experiences and program results for marketing purposes.
Your Rights:
All testimonial use requires your explicit written consent.
You may request removal of your testimonial at any time by emailing support@edimindfulness.com
You retain ownership of your original content.
Our Commitment:
We will anonymize identifying details (last name, company name, specific identifiers) unless you provide written permission for full disclosure.
Published testimonials represent individual experiences and are not guarantees of typical results.
Your private shares in courses and workshops remain confidential.
Inaugural cohort participants may be asked to complete mid-program and end-of-program feedback surveys as part of program development. Survey responses are used for program improvement and may inform future marketing with your permission.
Community Standards:
We reserve the right to terminate access for any participant who engages in harassment, disruption, unauthorized commercial solicitation, or violates the respectful learning environment of our programs.
7. Email Newsletter and Subscription
Free Subscription:
Subscribing to "Mindful Moments with Nathan Baptiste" is free and provides you with regular mindfulness insights, practice tips, program announcements, and resources.
Your Rights:
You may unsubscribe at any time using the link provided in every email.
We will never sell, rent, or share your email address with third parties for marketing purposes.

8. Third-Party Services and Platforms
Our services utilize third-party platforms including:
Zenler (course hosting and delivery)
Zoom and
Google Meet (live virtual event and workshop platforms)
Substack (newsletter distribution)
YouTube (guided meditation hosting)
ConvertBox (email capture)
Your use of these platforms may be subject to their respective terms of service and privacy policies. We are not responsible for the practices, policies, or content of third-party services.
9. Privacy and Data Protection
Our collection, use, and protection of your personal information is governed by our
Privacy Policy, which is incorporated into these Terms by reference. We collect only the information necessary to provide our services, and we use industry-standard security measures to protect your data.
10. Limitation of Liability and "As-Is" Provision
Technical Disclaimer: Our site and courses are provided "AS IS." We are not liable for interruptions caused by third-party platforms or internet outages.
Liability Cap: To the maximum extent permitted by law, EDI Mindfulness Consulting LLC’s total liability for any claim arising out of these services shall not exceed the total amount actually paid by you for the specific program or service at issue.
11. Modifications to Services and Terms
Content and Service Updates: We reserve the right to update, modify, or discontinue any content, course, or service at any time. Purchased courses will remain accessible for their stated duration even if content is updated.
Terms of Service Updates: We may revise these Terms of Service at any time. Changes become effective when posted on our website with a new "Effective Date" at the top of this document. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via email.
12. Termination and Cancellation
By You:
You may stop using our services at any time
You may unsubscribe from our newsletter using the unsubscribe link in any email
Course access continues per your purchase terms even if you stop actively using it
Cancellations do not entitle you to refunds outside our stated Refund Policy (Section 4)
By Us: We may suspend or terminate your access if you:
Violate these Terms of Service
Engage in conduct that harms other participants or our community
Misuse or share access credentials Fail to pay for purchased services
Termination does not automatically entitle you to a refund outside our stated Refund Policy.
13. Dispute Resolution and Governing Law
These terms are governed by the laws of Oregon. Any legal action must be brought in the courts of Clackamas County, Oregon.
Indemnification: You agree to indemnify and hold Nathan Baptiste and EDI Mindfulness Consulting LLC harmless from any claims, damages, or legal fees resulting from your use of the services or your violation of these Terms.
14. General Provisions:
Entire Agreement:
These Terms of Service, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and EDI Mindfulness Consulting LLC.
Severability:
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
No Waiver:
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment:
You may not assign or transfer your rights under these Terms. We may assign our rights to any successor or affiliate.
Force Majeure:
We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, or third-party platform failures. This includes, but is not limited to, the rescheduling or postponement of live cohort sessions due to instructor illness or technical platform failures.
